Terms of Service
The agreement between you and LayerAssist: plain words where we could, precise words where we had to.
1. Who we are
LayerAssist is the service available at layerassist.com and in the LayerAssist app (the “Service”). It is operated privately by its owner, not through a company. In these terms, “LayerAssist”, “we” and “us” mean that operator; “you” means the person or organisation using the Service.
You can reach us by opening a support ticket directly from your account (Support). If you can’t sign in, reply to any email we have sent you.
2. Accepting these terms
By creating an account or using the Service, you agree to these Terms of Service and to our Privacy Policy. If you do not agree, do not use the Service.
You must be at least 18 years old and able to enter into a binding agreement. If you use the Service for an organisation, you confirm that you are authorised to accept these terms on its behalf, and “you” also means that organisation.
3. What LayerAssist does
LayerAssist is an AI-assisted tool that helps you look after websites, domains, email and servers. When you connect a site, server or account and ask for help, it can inspect it, explain what it finds and, within the permissions you set, make changes on it.
LayerAssist uses AI models. Their answers and actions can be incomplete or wrong, and the same request can lead to different results. The Service is a tool that acts on your instructions; it is not a guarantee of any result and it does not replace your own judgement or professional advice.
4. Your account
Give accurate information and keep it up to date. Keep your password, vault passphrase and two-factor codes secret; we strongly recommend turning on two-factor authentication.
You are responsible for everything done through your account. Tell us straight away through a support ticket (Support) if you believe someone else has accessed it.
We cannot recover a lost vault passphrase: passwords saved in your vault are encrypted with keys derived from it, and we do not hold a copy.
5. The access you give LayerAssist
You may only connect websites, servers, domains, hosting accounts and other systems that you own or are explicitly authorised to manage. By connecting one, you confirm that you have that right, and that allowing LayerAssist to access and change it does not break any agreement or law that applies to you.
You give us permission to access and act on each connected system only to provide the Service to you, following your requests and the permissions you set. You can change those permissions, disconnect a system or stop a task at any time.
You remain responsible for your systems and data. In particular:
- when LayerAssist asks for your OK, review what it proposes before you approve it;
- keep your own independent backups of anything important;
- make sure the access you give is limited to what is needed.
LayerAssist is designed to work carefully: it does not delete anything you have not explicitly asked it to delete, it asks for a separate confirmation listing every item before a deletion, it prefers renaming or moving files over removing them, and it records exactly which lines of which file it changes, with the time, so a change can be reviewed and undone; files that cannot be recorded that way (for example binary or very large files) are first copied to ~/layerassist.backups on your server. These safeguards reduce risk but cannot remove it: an undo is refused when the file was changed again afterwards, a copy is not made when the server does not allow it, and this history is not a backup service.
6. Acceptable use
You must not use the Service, or let anyone use it, to:
- access, test, scan or change any system without the owner’s permission;
- attack, overload or disrupt any network, service or person, including LayerAssist;
- distribute malware, phishing, spam or any illegal or infringing content;
- mine cryptocurrency, run abusive automated traffic or get around usage limits;
- break the law, including export control and sanctions laws, or infringe anyone’s rights;
- copy, resell or reverse engineer the Service, or use it to build a competing service, except where the law expressly allows it;
- interfere with the security of the Service or of other users’ data.
We may investigate suspected misuse, refuse or stop any task, and cooperate with the authorities when the law requires it.
7. Plans and payments
Payments are processed securely by our payment provider. The total, applicable taxes and payment terms are shown at checkout. These Terms govern use of LayerAssist. The payment provider’s applicable terms govern the payment transaction and take precedence on transaction and refund matters.
Prices shown on the pricing page do not include VAT or other sales taxes. Where they apply, the payment provider adds them at checkout according to your country; if you buy as a business with a valid VAT number, VAT may be reverse-charged instead.
Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time from Billing → Cancel your plan. When you only stop renewal, your plan stays active until the end of the paid period. This action does not request a refund. Exceptions apply where required by law or where the payment provider determines otherwise under its applicable policies.
LayerAssist’s supplementary contractual refund offer: within 14 days of the first payment on your account, you can cancel from Billing → Cancel your plan and get that payment back (taxes included), minus the cost of the AI work actually used on your account since then. Billing shows the exact amount before you confirm. The payment provider returns it to the payment method you used, usually within a few days, and your plan ends immediately. If this deduction equals or exceeds the payment, the calculated refund under this offer is zero. This refund is available once per account and only for the first payment: renewals and any later payment, including a plan change, are outside this refund offer, and after a renewal or after the 14 days cancelling only stops the renewal. This does not limit the statutory rights described in section 17. The 14-day limit, first-payment condition and deduction of the cost of the AI work used apply only to this offer. They do not limit statutory rights or the payment provider’s independent refund decisions under its applicable policies.
Plans include usage limits described on the pricing page. We may change prices or plans for future periods; we will tell you in advance, and you can cancel before the change applies.
Free trial: a new account can try LayerAssist free for 7 days, once per account and per email address (including its aliases). The trial needs no payment method and includes the Plus plan’s features and a small one-off allowance of AI work. It ends after 7 days or once that allowance is used up, whichever comes first; nothing is charged and nothing renews. To keep using LayerAssist afterwards you choose a paid plan; your account, resources and settings stay. The trial is not a payment, so the 14-day refund offer above counts from your first payment. We may refuse or end a trial early where this offer is abused, for example when several accounts are used to get more than one trial.
8. Monthly usage
Every plan includes a monthly allowance of AI work. Each request uses part of it depending on how much work it takes, and the app shows, as a percentage, how much of the month each task used and how much is left. We do not measure it in credits or tokens you have to manage.
Plus includes twice the allowance of Go, Pro five times and Max fifteen times. Websites, servers and folders are unlimited on every plan; plans also differ in automations, tasks at the same time, server administration and support, as listed on the pricing page.
The allowance starts again every month on your billing date, also on annual plans. It cannot be carried over, transferred or exchanged for money. We tell you in the app and by email when you reach 75%, 90%, 95% and 100% of it.
When the allowance for a month is used up, LayerAssist pauses new AI work until the next month starts and tells you so in the chat. It still finishes safely any change already in progress, and your resources, data and monitoring are not affected. You can move to a larger plan at any time, and its allowance applies straight away. Usage is never charged extra.
We apply this policy to keep the Service reliable and fair for all customers. We may improve how usage is measured, but we will not lower the allowance of a month you have already paid for, and any other change follows “Changes to these terms”.
9. Your data
What you bring to LayerAssist stays yours: your messages, files, the systems you connect and their data. You give us the limited permission needed to store, process and transmit it to provide, secure and support the Service. How we handle personal data is explained in our Privacy Policy.
You are responsible for having the right to use the data you provide and for the instructions you give.
10. Our software and name
The Service, its software, design and the LayerAssist name and logo belong to us and are protected by law. These terms give you a personal, non-exclusive, non-transferable right to use the Service while your account is active; nothing else is licensed to you.
If you send us feedback or ideas, we may use them freely and without any obligation to you.
11. Other services
The Service works with systems and services run by others, such as your hosting provider, domain registrar, AI model providers and the payment provider. We are not responsible for those services, for their availability, or for changes they make; your use of them is governed by their own terms.
12. Availability and changes
We work to keep LayerAssist available and secure, but we do not promise that it will be uninterrupted, error-free or available at any particular time. We may carry out maintenance, and we may add, change or remove features. If we remove something essential to a paid plan, we will tell you in advance.
13. No warranties
To the fullest extent the law allows, the Service is provided “as is” and “as available”, without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement. You use the Service, and act on its results, at your own risk.
14. Limitation of liability
To the fullest extent the law allows, we are not liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, business, goodwill, data or content, or for downtime of your systems, however caused, even if we were told they were possible.
Our total liability for all claims relating to the Service is limited to the greater of (a) the amounts you paid for the Service in the 12 months before the event giving rise to the claim, and (b) 50 euros.
These limits do not apply where the law does not allow them to, such as liability for fraud, for intentional misconduct, or for death or personal injury caused by negligence.
15. Your responsibility towards us
You agree to defend and compensate us for claims, losses and costs (including reasonable legal fees) that arise from your breach of these terms, from your misuse of the Service, or from any system you connected without the right to do so. This does not apply to the extent a claim was caused by our own breach of these terms.
16. Suspension and ending
You can stop using LayerAssist at any time, and you can ask us to close your account through a support ticket (Support).
We may suspend or close your account, immediately if needed, if you break these terms, if your use creates a security or legal risk for us, for other users or for third parties, or if we are required to by law. Where it is reasonable, we will tell you why and give you a chance to fix the issue first. If we stop offering the Service altogether, we will give you reasonable notice.
When your account closes, your right to use the Service ends and your data is handled as described in the Privacy Policy. Sections that by their nature should continue — including 8 to 10 and 12 to 18 — survive.
17. If you are a consumer
Your mandatory consumer rights, including any statutory withdrawal or refund rights, are not limited by these terms or our Refund Policy.
18. Disputes and applicable law
If you have a problem, open a support ticket first (Support); most issues can be solved that way, and we will reply within 30 days.
These terms are governed by the law of the place where the operator of LayerAssist is established, without regard to its conflict-of-law rules, and disputes are handled by the competent courts of that place. If you are a consumer, you may also bring a claim in the courts of your country, and the mandatory protections of your country’s law still apply.
19. Changes to these terms
We may update these terms, for example when the Service or the law changes. For material changes we will give you at least 14 days’ notice in the app and on this page before they apply. If you keep using LayerAssist after that, the updated terms apply; if you do not agree, you can stop using the Service and close your account.
20. General
These terms, together with the Privacy Policy and any plan details shown at purchase, are the whole agreement between you and us about the Service. If any part is found unenforceable, the rest stays in force. Not enforcing a right is not a waiver of it. You may not transfer your account or these terms without our written consent; we may transfer them to a successor who continues the Service. Neither side is responsible for delays caused by events beyond its reasonable control.
These terms are written in English. Translations are provided for convenience; if they differ, the English version applies.
